Agreement

This agreement is made this ..........day of ............................................ 2006 between The Power Switch whose address is 191 Eaglesham Road Clarkston Glasgow G76 8RH and

(hereinafter referred to as the Broker).
Whereas The Power Switch has defined a method whereby the cost of utility expenditure (in those areas defined within its training manuals) can be recovered and/or reduced. Now it is hereby agreed as follows:
1. The Power Switch undertakes to train the Broker in that method as herein provided in order that the Broker may operate as an independent cost reduction specialist providing this service to businesses in his/her defined area.

2. The Power Switch will provide and the Broker agrees to purchase for the sum of £7950 + Vat the following services:
a) Training sessions as required either in person or consisting of telephone,fax and electronic consultation time to provide the Broker with details of all major aspects of operating a cost reduction and broker service as developed by The Power Switch.
b) Comprehensive Manuals covering all aspects of The Power Switch cost reduction method.
c) Client and supplier letters, client contracts and letters of introduction.
d) All working documents and forms.
e) Computer software spreadsheets for Electricity, Gas & Telephone analysis.

3. The Power Switch will provide the Broker with the following support services, commencing within 28 days of receipt of payment of the Broker fee and consisting of:
a) Consultation services covering all areas defined within the training manuals provided. This service to be provided upon request by the Broker and given in person or via telephone or fax.
b) Access to supplier and agency arrangements whom The Power Switch recommend for use in the Broker business. The Broker understands that there is no requirement for the Broker to use these suppliers and that the Broker is free to negotiate with other suppliers and agencies with which The Power Switch does not have agency agreements in force at that time
c) The right to purchase additional supplies of stationery and promotional material from The Power Switch.
d) The option of asking The Power Switch to takeover large or complex cases. In such cases The Power Switch will be responsible for all business conducted with the client and will in return share payments from the client on a 50/50 basis with the Broker. The Power Switch will be paid 55% of commissions and or client fees from clients referred to the Broker. The Power Switch will be paid 10% of suppliers commissions handled using The Power Switch supply agency agreements. The remaining 90% of said commissions are payable to The Broker. All payments from suppliers to be paid to Broker within 14 days of receipt of payment from supplier.
e) The option to use Introducers sourced via The Power Switch marketing activities. The Broker agrees to pay 10% of his/her share of refunds, reductions and supplier commissions generated from clients procured by each Introducer appointed to the Broker. Broker agrees to pay commissions/royalties due within 14 days from receipt of payment from client.

4. All material supplied by The Power Switch is for the Brokers sole and exclusive use in the operation of a cost reduction service for Broker's clients. Such material shall not in any manner or form be duplicated without prior written permission of The Power Switch and shall under no circumstances be disclosed to any third party, other than employees and associates of the Broker. Such permission not to be unreasonably refused.
a) The Broker understands and accepts that a maximum of one Broker will be allocated per 250,000 population in each region or county in the UK for a period of at least twelve (12) months from the Broker signing this agreement.
b) The Broker is able to carry out work outside his/her home region but where a clients premises are within another region served by another Broker, they will have the option to refer that client to the most convenient Broker.
c) The Broker will operate as an independent business person and nothing in this agreement shall constitute a partnership agency or franchise and there are no royalties payable to The Power Switch for any fees earned by the Broker save as expressly herein provided.
d) Any training or material supplied under this agreement does not constitute a business or marketing plan and the Broker is free to conduct business in any manner desired by the Broker.
e) Any details whether written or oral supplied at any time or as part of this agreement are suggestions or examples only which the Broker must use at own discretion.
f) The Power Switch provides no guarantee as to the success of the Broker's proposed business and any information regarding sales or earnings (minimum or maximum) is for illustration purposes only. The success of any venture is solely dependant on the skill and enterprise of the Broker.
6. This agreement is governed by the laws of Scotland and constitutes the entire agreement between the parties.
